Job Description

Cole-Frieman & Mallon LLP (“CFM”) is a prestigious boutique law firm based in San Francisco with a robust national practice, representing private funds (including hedge, VC/PE, and hybrid structures) and their managers. Our firm advises on over 300 fund launches each year. Additionally, CFM has highly regarded practices focusing on cryptocurrency and digital asset transactional matters, as well as cybersecurity.

Our team is growing and we are looking for a Securities & Corporate Paralegal to support our corporate attorneys and clients on complex transactions for both private and public company clients to join our firm. The successful candidate will have significant flexibility in enjoying remote work in the San Francisco Bay Area.

Tasks for Securities & Corporate Paralegal Include but not limited to:

  • Prepare and/or revise drafts of legal documents for attorney review, including, but not limited to documents related to the formation and dissolution of various corporate entities; ancillary documents related to corporate financing and M&A transactions; and other corporate documents.
  • Assist with certain SEC filings including Form D filings.
  • Compile, analyze, and summarize information for attorney review as it relates to transactions.
  • Perform corporate and securities law research online.
  • Assist in corporate and commercial transactions, including fast-paced M&A and corporate financing deals, from preparation to closing.
  • Assist with case management, responding to document requests, and calendaring.
  • Proofread, edit, and correct legal forms and documentation.

Qualifications:

  • Bachelor’s degree.
  • 2+ years prior experience in the areas of securities/general corporate law.
  • Strong Microsoft Office skills (particularly Word, Adobe Acrobat, Outlook, Excel, and scheduling in MS Teams) and document sharing and e-signing tools.
  • Must be, or willing to become, a CA notary.
  • Acute attention to detail; outstanding writing, research, negotiating, interpersonal, and organizational skills.
  • Excellent time management and prioritization skills; ability to handle multiple concurrent assignments with a high degree of accuracy and meet deadlines in a high‐pressure environment.
  • Strong problem-solving and analytical skills to oversee challenging matters and changes in workflow.
  • Strong ability to work diplomatically with different communication styles, personalities, and varying levels of accountability.
